Ayisha Jaffer Joins The Current
Posted: 29 Mar 2022 10:00 AM PDT
https://radioinsight.com/headlines/222259/ayisha-jaffer-joins-the-current/
After just eight months as APD/MD and midday host at Nashville Public Radio
AAA 91.1 WNXP, Ayisha Jaffer is moving to Minnesota Public Radios The
Current 89.3 KCMP Minneapolis as evening host.
Jaffer will debut at KCMP the week of April 18. Prior to WNXP, Jaffer has
also hosted afternoons at 89.9 WYMS Milwaukee and two stations in New
Zealand. She has also worked at multiple artist and tour management
companies including her own Greater Than Propaganda and as a Park Ranger.
The Current today announces the hire of Ayisha Jaffer as host. Jaffer can
be heard on-air evenings beginning the week of April 18 on The Current’s broadcasts throughout the state of Minnesota as well as streaming online.
Jaffer joins The Current from WNXP Nashville, where she served as Midday
Host and Assistant Program Director. Prior to WNXP, she was the Afternoon
Drive host at WYMS Radio Milwaukee. She has also worked in music management
in the U.S. and New Zealand with artists including Lorde, Cut Copy and Architecture in Helsinki. While living in New Zealand, she got her start in radio at stations 95BFM and Aotea FM.
“As a true Midwesterner, joining the team at The Current feels like coming home,” Jaffer said. “I am looking forward to being a voice on the air and a friend in your community.”
“Music is boundaryless and I believe in using it to drive connections and amplify voices. I am excited to get to know The Current’s listeners by sharing experiences, hearing yours and highlighting artists, creators, and dreamers alike. In this role, I hope to add to an already strong platform
and pay it forward. Like Mr. Rogers says, let’s ‘make goodness attractive.’”
Outside of music, Ayisha has also worked as a park ranger in Alaska, and
she enjoys working on wildlife conservation efforts, kayaking and playing
music with her band Skux.
“We’re so excited to add Ayisha to the team at The Current,” said Jim McGuinn, program director at The Current. “She brings together tremendous energy, knowledge, and a passion for the music, a fascinating background
both in radio and around artists—and even bears!—and a real desire to connect listeners to the music and each other. She can’t wait to discover more of the music (and navigable waters) of Minnesota and become part of
our community. We’re psyched for her to join us at The Current.”

In Search of Show Biz Radio
Posted: 29 Mar 2022 09:00 AM PDT
https://radioinsight.com/blogs/221572/in-search-of-show-biz-radio/
Over the last few weeks, I’ve struggled to accurately characterize a key aspect of the radio I love.
Talking about “hosted, produced radio,” as I sometimes have through the years, is adequate shorthand among many Ross on Radio readers, but can also
be reductive and too inside — not conveying the values or excitement I intend.
I got closer last week with “classic radio,” but that also sounds like a call to dust off ancient clichés: the boss sound in the big town. With
radio and the people who create it unbearably stretched, and a world in
crisis, it might sound like I only want to hear somebody hit the post.
The radio I love sounds big, but those who’ve watched the industry for the last 25 years come honestly by their frustrations with consolidation and
its aftermath. So I can’t call it “big radio”; that term sounds like “big
oil” and “big pharma,” and for some people it is.
But with each week that I refocus on what makes radio great, I’m circling
in on the notion of “Show Biz Radio” as the thing done well by broadcast and satellite radio and not quite grasped, or perhaps just not valued, by purveyors of other types of audio.
“Show Biz” isn’t all radio has to offer. In recent years, the industry has
come to realize that full-service radio matters too — particularly when it can still get listeners to “join the conversation.” But TV talk shows are certainly part of show biz as well.
When it’s there, “show biz” on radio manifests itself over the intros, between the records, and through contesting. It also reinforces radio as a community and a “shared experience” — whether it’s Z100 “serving the universe from the top of the Empire State Building” or John Landecker on
WLS Chicago parodying that sort of thing by broadcasting “from high atop
the downtown Burger King.”
Broadcasters have a complicated relationship with the show-biz aspect of
radio. In the late ‘70s/early ‘80s, many programmers were shamed out of it by the rise of Album Rock and Adult Contemporary radio. Z100 and Scott
Shannon brought it back. The advent of PPM measurement sent it on hiatus
again. But “more music, less talk” radio and show-biz radio never had to be an either/or thing.
Sometimes our show biz takes the form of pretending not to be show biz
(think the “police radio” imaging and deliberately deadpan sound of 90s Alternative radio, which also spread to Top 40). Shannon’s Z100 owed a lot
to the “small-town guy conquers the big city through sheer earnestness” of Frank Capra. Those of us eagerly waiting for season 3 of Ted Lasso still
like that one.
Metered PPM measurement steered broadcast radio away from both full-service
and show biz aspects around the time that our tech rivals began to
specialize in that sort of excitement. Pandora came for the “more music,
less talk” franchise, but the genome still gave it a show-biz aspect. Since then, the iPhone and smart speakers have been the irresistible toys that
radio can’t match. Radio has sought show biz primarily through the station shows that can only really take the stage again now.
What is “show biz” in radio terms is UX to radio’s tech competitors, so I’m
surprised that the user experience of their audio offerings hasn’t really captured radio’s show-biz aspects, especially from competitors who out-resource radio. As I write about Amazon’s Amp, I want to be careful to:
Acknowledge that it is in beta;
Acknowledge the number of smart industry people who are enthusiastic about
it;
Not sound like a grumpy old guy on the wrong side of history; advocates are taking a 15-year-view, which is another complicated discussion for broadcasters;
Fulfill my reviewer’s obligation to accurately report to you what the
emperor is wearing, at least today.
Last week, I came to the conclusion that Clubhouse and Amp fulfilled other needs. They certainly do offer the ability to “join the conversation.” Also, many competing audio offerings, including Amp, have ventured into
show biz in one key way, via celebrity content creators. Usually, it feels
to me like their “movie stars” have been cast in a Sundance indie distributed by a major studio’s boutique imprint. We all need another Free Guy-type entertainment, especially now. But how can a multiply challenged
radio industry offer that?
I’ve written about radio’s challenges in its own UX, streaming or on-air. One of the talking points of consolidation was that it would give radio
more “show biz,” not less, particularly once national contesting took hold. Now radio does indeed have bigger jackpots than individual stations can
offer, but it gives them away for a text message and sometimes with no
on-air payoff. We are not broadcasting “from the top of the Empire State Building”; instead, we are live (but not really) from the 1-800-GOT-PAIN studios.
Show-biz radio easily defaults to classic radio. My recent example was Mike Joseph doing a 1959 station on WCAU-FM Philadelphia in 1981 and
revitalizing the Top 40 format. The classics always work, and in music, entertainment, and all things, we’re less tied to a traditional timeline
than ever. But as with hearing somebody hit the post, thats not all I want.
I hope broadcasters (or pureplays) will find a way to offer show-biz radio
for 2022 and beyond. First, we have to recognize its value.

Our only goal is to get lost in the music. We (John, Anthony, Chad and
Flea) spent thousands of hours, collectively and individually, honing our
craft and showing up for one another, to make the best album we could. Our antennae attuned to the divine cosmos, we were just so damn grateful for
the opportunity to be in a room together, and, once again, try to get
better. Days, weeks and months spent listening to each other, composing, jamming freely, and arranging the fruit of those jams with great care and purpose. The sounds, rhythms, vibrations, words and melodies had us enrapt.
We yearn to shine a light in the world, to uplift, connect, and bring
people together. Each of the songs on our new album Unlimited Love, is a
facet of us, reflecting our view of the universe. This is our lifes
mission. We work, focus, and prepare, so that when the biggest wave comes,

Rocking M Media Files For Chapter 11 Bankruptcy
Posted: 29 Mar 2022 04:30 AM PDT
https://radioinsight.com/headlines/222126/rocking-m-media-files-for-chapter-11-bankruptcy/
Rocking M Media and its associated companies that own 21 stations in
central and western Kansas has filed for Chapter 11 bankruptcy protection.
In the petition Rocking M claims $1,307,696.75 in assets and $22,365,886.40
in liabilities owed between its four holding companies. Bankruptcy attorney Sharon Stolte of Sandberg Phoenix von Gontard, who is representing the company, told the Wichita Eagle that “We filed on Saturday, and we are
hoping to reorganize. We will sell some of the stations that we find are
not profitable, and we will reorganize the debt with the remaining
stations.”
The company is owned 1/3 each by Monte and Doris Miller and their son Christopher Miller. In its declaration the company blamed Christopher
Miller for rapid expansion. He was removed from his position as company president in 2019, at which time he acquired four stations in its Salina cluster for the assumption of a $1,755,917.55 note.
Rocking M sold 92.3 KKGQ Newton/Wichita to Chad Boeger’s Pinnacle Media for $623,000 last year as part of a deal to settle the legal battle between it
and Envision Broadcast Network. That sale was approved by the FCC, but only after issuing a $7000 fine to Rocking M Media and granting conditional one
year license renewals to the companys five other Wichita area stations
after Rocking M admitted in its license renewal applications that all six stations were silent for periods of time without STA’s filed or granted by the FCC.
The legal battles between Rocking M and Envision dated back to the merger
of KKGQ into Rocking M’s Wichita cluster in April 2017. Rocking M agreed to sell its entire Wichita cluster in 2019 to Allied Media Partners for $6,188,645, however liens placed on the stations by Envision were unable to
be cleared and Envision locked Rocking M Media out of their studios located
at Envision’s headquarters leading to the sale collapsing. Both companies sued each other over the failed deal, which will go to trial in June.

Evergreen Coast Capital Corporation & Brookfield Business Partners To
Acquire Nielsen For $16 Billion
Posted: 29 Mar 2022 03:50 AM PDT
https://radioinsight.com/headlines/222224/evergreen-coast-capital-corporation-brookfield-business-partners-to-acquire-nielsen-for-16-billion/
Nielsen Holdings plc (NYSE: NLSN) (Nielsen) today announced that it has
entered into a definitive agreement to be acquired by a private equity consortium (Consortium) led by Evergreen Coast Capital Corporation
(Evergreen), an affiliate of Elliott Investment Management L.P. (Elliott),
and Brookfield Business Partners L.P. together with institutional partners (collectively Brookfield) for $28 per share in an all-cash transaction
valued at approximately $16 billion, including the assumption of debt.
The Nielsen Board of Directors voted unanimously to support the acquisition proposal, which represents a 10% premium over the Consortiums previous
proposal and a 60% premium over Nielsens unaffected stock price as of March
11, 2022, the last trading day before market speculation regarding a
potential transaction. The Board reached this determination following a comprehensive review of the proposal, with the assistance of its
independent financial and legal advisors.
After a thorough assessment, the Board determined that this transaction represents an attractive outcome for our shareholders by providing a cash takeout at a substantial premium, while supporting Nielsens commitment to
our clients, employees and stakeholders. The Consortium sees the full
potential of Nielsens leadership position in the media industry and the
unique value we deliver for our clients worldwide, said James A. Attwood, Chairperson of Nielsens Board of Directors.
After months of deep market analysis, industry diligence and management reviews, we are firmly convinced that Nielsen will continue to be the gold standard for audience measurement as it executes on the Nielsen ONE
roadmap, said Managing Partner Jesse Cohn and Senior Portfolio Manager Marc Steinberg on behalf of Evergreen and Elliott. Having first invested in
Nielsen nearly four years ago, we have a unique appreciation for the
Companys ongoing relevance to the global, digital-first media ecosystem.
Todays outcome represents a significant win for Nielsens shareholders and
for the business itself, as our multibillion-dollar investment will help Nielsen reinforce its transformation at this critical inflection point. We
are pleased to partner with David and the existing management team to lead Nielsen after the transaction is completed.
Nielsen is deeply embedded in the media ecosystem and a trusted service provider to its customers. As a private company, Nielsen will be even
better positioned to deliver the best measures of consumers rapidly
changing behaviors across all channels and platforms, commented Dave
Gregory, Managing Partner, Brookfield Business Partners. We are pleased to invest in this iconic company and help lead the industry into the next generation of audience measurement.
The Consortium has secured fully committed debt and equity financing,
including an approximately $5.7 billion equity commitment from the
Consortium consisting of Evergreen and Brookfield. There are no financing conditions to the closing of the transaction.
The transaction is subject to approval by Nielsen shareholders, regulatory approvals, consultation with the works council and other customary closing conditions. The transaction will also be subject to UK court approval
pursuant to a scheme of arrangement. Alternatively, pursuant to the
agreement, the parties may elect instead to complete the transaction
pursuant to an agreed-upon tender offer. If the closing conditions are met,
the transaction is expected to close in the second half of 2022.
The Company no longer intends to commence share repurchases under the
Boards previously approved authorization.
Go-Shop Period
The transaction agreement provides for a go-shop period, during which
Nielsen – with the assistance of its financial advisors, J.P. Morgan and Allen & Company, and its legal advisors – will actively solicit, evaluate
and potentially enter into negotiations with parties that offer alternative acquisition proposals. The go-shop period expires 45 days after Nielsens
entry into the transaction agreement. Following that period, Nielsen will
be permitted to continue discussions and enter into or recommend a
transaction with any person or group that submitted a qualifying proposal during the 45-day period, if the Board determines the proposal is superior
to this transaction. A competing bidder who makes a superior proposal would bear a $102 million (1% percent of equity value) termination fee that is payable by Nielsen if Nielsen terminates the transaction agreement with the Consortium to accept such superior proposal.
Advisors
J.P. Morgan and Allen & Company LLC are acting as lead financial advisors
to Nielsen. PJT Partners is also acting as an advisor to Nielsen. Wachtell, Lipton, Rosen & Katz, Clifford Chance LLP, DLA Piper, and Baker McKenzie
are serving as legal advisors to Nielsen. Gibson, Dunn & Crutcher LLP and Herbert Smith Freehills LLP are serving as legal advisors to Evergreen and
the Consortium, and Davis Polk & Wardwell LLP is acting as legal advisor to Brookfield. BofA Securities, Barclays, Credit Suisse, Mizuho Securities USA LLC, HSBC Securities (USA) Inc., and Citi are serving as financial advisors
to Evergreen and Brookfield.
Debt commitments to Evergreen and Brookfield were provided by Bank of
America, Barclays, Credit Suisse, Mizuho Securities USA LLC, HSBC Bank USA National Association, KKR Capital Markets, Citi, Nomura Securities International Inc., and Ares Capital Management LLC.
For further information regarding all terms and conditions contained in the definitive transaction agreement, please see Nielsens Current Report on
Form 8-K, which will be filed in connection with this transaction.
